End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and the entity you represent ("you" or "Customer") and Numeral Technologies, Inc. ("Tally," "we," "us," or "our") governing your access to and use of the Tally revenue recognition and period-close application, including any related documentation, updates, and services (the "Software"). By creating an account, clicking "I agree," or using the Software, you accept this Agreement. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, Tally grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your internal business purposes during the term of your subscription.

2. Restrictions

You agree not to, and not to permit any third party to:

  • copy, modify, or create derivative works of the Software;
  • reverse engineer, decompile, or disassemble the Software, except to the extent permitted by law;
  • rent, lease, lend, sell, sublicense, or otherwise make the Software available to any third party;
  • circumvent or disable any security or usage-control features of the Software;
  • use the Software to build a competing product or service; or
  • use the Software in violation of any applicable law or regulation.

3. Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. You are responsible for the accuracy of the configurations, rules, and data you provide, and for reviewing the outputs the Software generates.

4. Customer Data

As between the parties, you retain all rights, title, and interest in the financial and transaction data you submit to or connect with the Software ("Customer Data"). You grant Tally a limited license to host, process, and use Customer Data solely to provide and improve the Software and as described in our Privacy Policy. You represent that you have all rights necessary to provide Customer Data to the Software.

5. Fees and Payment

Access to the Software is provided on a subscription basis. You agree to pay all fees according to the plan you select. Except as required by law or expressly stated, fees are non-refundable. We may change fees on renewal with prior notice.

6. Intellectual Property

The Software, including all associated intellectual property rights, is and remains the exclusive property of Tally and its licensors. This Agreement does not grant you any rights in the Software except the limited license expressly stated. Any feedback you provide may be used by us without restriction or obligation to you.

7. Confidentiality

Each party may receive information that is confidential to the other. The receiving party agrees to protect such information with reasonable care and to use it only as necessary to perform under this Agreement.

8. Term and Termination

This Agreement remains in effect for as long as you use the Software or maintain an active subscription. We may suspend or terminate your access if you materially breach this Agreement. Upon termination, your license ends and you must cease using the Software. Sections intended to survive termination will continue to apply.

9. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Tally does not provide accounting, tax, audit, or legal advice, and you are responsible for the accounting judgments and filings made using the Software's outputs.

10. Limitation of Liability

To the maximum extent permitted by law, Tally will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Tally's total aggregate liability arising out of or relating to this Agreement will not exceed the amounts you paid to Tally for the Software in the twelve months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Tally from any claims, losses, or damages arising out of your Customer Data, your use of the Software, or your breach of this Agreement.

12. Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Changes to This Agreement

We may update this Agreement from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Software after changes take effect constitutes acceptance.
